The following general terms and conditions of sale are an integral part of all our supply contracts for items and materials, even when orders are placed by phone, fax, email, or via Internet.

MSX Srl sells sexual toys, sexual aids, stimulators, and both vibrating and non-vibrating massagers, lingerie, and items intended for use in the erotic sphere of adults. The company is legally based at Via Enrico Forlanini n. 43/47, 00012 Guidonia Montecelio (RM), is registered with the Chamber of Commerce of Rome under no. 1605530-RM, and has a VAT number of 15659291007, hereinafter referred to as MSX Srl.

Customers
MSX Srl, through its e-commerce platform www.msxdistribution.com, exclusively targets a professional clientele. The client assures that the purchase is made solely for professional purposes, that is, related to their business activity. The relationship between MSX Srl and its clients will therefore not be governed by consumer protection laws, including in particular Legislative Decree 185/1999 (contracts concluded at a distance), Legislative Decree 50/1992 (right of withdrawal), Legislative Decree 24/2002, Law 126/1991, and articles 1469 and following of the Civil Code. Any other form of agreement different from these conditions will also be considered excluded unless agreed upon with MSX Srl in writing.

Liability
MSX Srl is not responsible for any damage or loss, direct or indirect, arising from delayed or failed delivery of the product, or from any inaccuracies in the product descriptions provided on the website www.msxdistribution.com or in the documentation in general. Furthermore, MSX Srl is not liable for any other events that are not directly attributable.

Orders
Orders will only be considered valid if transmitted via the Internet directly on the website or in written form via fax, email, and accepted by the sales management. Orders may also be received by phone, but in this case, MSX Srl will not be responsible for any inaccuracies regarding the order itself. Orders valued at less than €50.00, excluding VAT and shipping costs, will not be accepted.

Prices
The prices published on the website www.msxdistribution.com are expressed in Euros (€), intended per package, and do not include VAT (VAT will be highlighted in the appropriate customized cart and at the time of order completion). For packages, where no quantity appears, a single-piece package is intended. Prices do not include shipping costs unless otherwise agreed between the parties or concessions made by MSX Srl. Prices are considered valid at the time of the order and for products in stock but are not binding for MSX Srl, which reserves the right to cancel the order at its sole discretion and/or to agree on changes to the prices.

Price Lists
Access to the price lists published on the website www.msxdistribution.com is subject to the registration procedure, which requires the completion of the appropriate online form and the simultaneous sending via fax of an updated chamber of commerce registration, dated no earlier than 6 months from the date of submission. MSX Srl reserves the right to revoke access to the retailer price lists at any time and at its discretion.

Discount
MSX Srl will grant retailers a discount based on the annual purchase volume. Any subsequent discounts or favorable conditions will only be considered valid if agreed upon in writing.

On-line Purchases
Registered MSX Srl customers, possessing the appropriate password and having established specific agreements with MSX Srl, can make online purchases by submitting orders through the website www.msxdistribution.com.

Delivery Times
MSX Srl commits to timely delivery of the ordered materials, based on availability and prior orders. The goods travel at the recipient's expense, and therefore MSX Srl is not responsible for the delivery times of the couriers entrusted with the shipment.

Shipments
Shipments, unless otherwise agreed in writing, will be made with the couriers affiliated with MSX Srl. The goods travel at the recipient's risk, and therefore MSX Srl is not responsible for any theft or loss by the courier, even if the goods travel at no charge.

Risk and Ownership
The goods, unless otherwise agreed in writing, are shipped at no charge with billing. Upon delivery, the customer must verify the integrity of the packages and the quantitative and qualitative correspondence with what is indicated in the transport document, reporting any discrepancies or non-compliance on the courier's documents. Such discrepancies must be reported to MSX Srl by fax within 24 hours. In the case of collection at MSX Srl warehouses, verification must be carried out immediately at the time of collection.

Payments
Payments related to individual supplies must be made in accordance with the indications provided on the sales document. In case of delayed payment beyond the terms specified in the invoice, interest on arrears will be charged at the legal interest rate plus three percentage points and the related expenses.

Invoices
Any complaints or disputes regarding invoices will be accepted only if they are received by MSX Srl via registered letter, fax, or email within eight days from the date of receipt of the invoice.

Returns
The following return provisions will apply in two different cases:

1. In case of an error by MSX Srl in order entry, shipping, or delivery;
2. If MSX Srl decides at its discretion, or agrees with the customer, to apply a more favorable policy for the customer.
   The goods must be returned to our warehouse in Guidonia (RM) at the customer's expense, even if shipped at no charge. Any complaints can only be accepted if notified by registered letter, fax, or email within eight days from the date of receipt of the material; after this period, all rights to complaint will be forfeited.

Acceptance of returns conditions
Acceptance of returns is subject to the following conditions:

• Return slip indicating the MSX Srl reference number, customer code, and a clear reason for the return;
• Products must be undamaged;
• Packaging and labels must be intact or in the same condition as supplied;
• Products not purchased on a promotional basis, even if fully returned;
• Products must be returned within one month from the date of receipt.

Warranty
In the event that the manufacturer’s warranty is provided directly to the customer, the customer must contact the manufacturer to enforce it and not MSX Srl. MSX Srl emphasizes that some products may be considered medicinal in certain EU countries according to their respective internal regulations; therefore, it disclaims any and all responsibility if such products are sold by unauthorized parties.

Competent Jurisdiction
The court of Tivoli has exclusive and mandatory jurisdiction for any disputes that may arise regarding the purchase of products marketed by MSX Srl.

General Terms
The conditions contained in this document may be modified without notice and will be effective from the date of publication on the website www.msxdistribution.com.

CSV File Use
After completing the registration procedure, upon filling out the appropriate form, it will be possible to download an XML and CSV file for the exclusive use of the registered company. This file is not transferable to third parties and must be used solely by the company that registered. The company that registered is required to exercise the utmost diligence in the use and custody of the username, password, and access codes and is therefore responsible for all consequences arising from any unauthorized use of the username, password, or access code. The user is also responsible for the truthfulness of the information entered, assuming all civil and criminal responsibility for any irregularities in data compilation from the moment of profile validation. The username, password, and access codes assigned or reserved for the user are strictly personal and not transferable. The website owner, subject to legal limitations, is in no case responsible for damages that may arise to the user and/or third parties for the misuse of the username, password, and access codes. MSX Distribution reserves the right to suspend or revoke the permissions associated with the username, password, or access codes in case of violation of the obligations assumed by the user under this Agreement and any other contractual or legal provision, general or specific, governing the services provided through this website. MSX Distribution also reserves the right to deny access to individuals who have exhibited behaviors deemed unacceptable according to the undisputed judgment of the owners. The user agrees not to allow the use, in any capacity, of the service by third parties not expressly authorized, for whose behavior he assumes responsibility under this document. If third parties, even without the user’s authorization, use the service, the user, by accepting these General Conditions, expressly authorizes MSX to use their personal data protected by current regulations for the purposes necessary to protect the company and the user themselves.

Delivery Location
The goods requested by the regularly registered user will ALWAYS be delivered to the address indicated at the time of registration and not to any other locations subsequently communicated.
